Services and Fee Structures

Broad Scope 

We will provide you with a certain number of hours per month based on your needs and budget.  The subject matter of a Broad Scope agreement is limited only to the very broad arena of business law.  Potential services include, but are not limited to, contract review, strategic advice, negotiations with internal stakeholders or external third parties, compliance, and risk mitigation strategies.  Broad Scope services do not include document drafting; however, Outside General Counsel clients will be provided with significant discounts on additional services.

• Basic:  Includes up to 5.0 hours per month for a monthly flat fee payment.
• Plus:  Includes up to 10.0 hours per month for a monthly flat fee payment.
• Premium:  Includes up to 15.0 hours per month for a monthly flat fee payment.

Discounted Additional Hours: If you require additional services beyond your Block on a one-time or infrequent basis, we will offer additional services at reduced hourly rates if purchased during an active subscription period. Broad Scope clients will receive the following discounts on additional hourly services: (a) Small Block clients will receive a ten percent (10%) discount on current hourly rates; (b) Medium Block clients will receive a fifteen percent (15%) discount on current hourly rates; and (c) Large Block clients will receive a twenty percent (20%) discount on current hourly rates.

Discounted Document Drafting: Broad Scope clients will receive the following discounts on both Standard Contracts (as defined below) and any custom drafted documents if purchased during an active subscription period: (a) Small Block clients will receive a ten percent (10%) discount on current rates; (b) Medium Block clients will receive a fifteen percent (15%) discount on current rates; and (c) Large Block clients will receive a twenty percent (20%) discount on current rates.

You can retain us on a monthly, flat fee basis to review a certain number of contracts per month on your behalf and provide services according to the following tiers:

• Basic:  We will review two (2) contracts per month and advise you on the ramifications of the contracts.
• Plus:  We will review four (4) contracts per month and advise you on the ramifications of the contracts.
• Premium:  We will review six (6) contracts per month and advise you on the ramifications of the contracts.  

Negotiation and Revision Services:  You can also retain us to negotiate the substance of the contracts and revise the contracts to fit the terms of the agreement.  Negotiation and Revision Services are available on a monthly, flat fee basis. Prices vary according to Basic, Plus, and Premium subscription levels.

Advisement Regarding Nature of Contracts:  The services provided with regard to a Contract Review Subscription concern contracts of common length and complexity.  Any contracts exceeding forty (40) pages in length, concerning securities transactions, or concerning abnormally complex transactions or specialized subject matters, are not covered by a Contract Review Subscription, and must be reviewed on a custom fee arrangement. 

Discounted Contract Drafting: If your contract needs ever exceed the bounds of your subscription, we will offer you significant discounts on other contract drafting services purchased during an active subscription period. Contract Review Subscription clients will be offered the following discounts on Standard Contracts (as defined below): (a) Basic subscribers will be able to purchase Standard Contracts at a twenty percent (20%) discount; (b) Plus subscribers will be able to purchase Standard Contracts at a thirty percent (30%) discount; and (c) Premium subscribers will be able to purchase Standard Contracts at a forty percent (40%) discount. Contract Review Subscription clients will be offered the following discounts on custom drafted documents: (a) Basic subscribers will receive a ten percent (10%) discount on current rates; (b) Plus subscribers will receive a fifteen percent (15%) discount on current rates; and (c) Premium subscribers will receive a twenty percent (20%) discount on current rates.

You can retain us on a monthly, flat fee basis to review your company’s actions and circumstances to evaluate compliance with applicable business laws and your company’s own internal governing documents.

• Basic:  We will review your company’s circumstances, analyze compliance with applicable rules, and identify changes to improve compliance.
• Plus:  We will review your company’s circumstances, analyze compliance with the applicable rules, give you a detailed plan to improve compliance, and meet with management twice per month about how those changes are being implemented. 
• Premium: We will review your company’s circumstances, analyze compliance with the applicable rules, give you a detailed plan to improve compliance, meet with management weekly about how those changes are being implemented, and revise any existing governmental documents once per month to adopt any desired changes.

Discounted Corporate Governance Services:  Compliance Monitoring subscribers will be offered the following discounts on Corporate Governance services (as defined below) purchased during an active subscription period: (a) Basic subscribers will receive a ten percent (10%) discount; (b) Plus subscribers will receive a fifteen percent (15%) discount; and (c) Premium subscribers will receive a twenty percent (20%) discount.

Discounted Document Drafting:  Compliance Monitoring subscribers will be offered the following discounts on Standard Contracts (as defined below) purchased during an active subscription period: (a) Basic subscribers will be able to purchase Standard Contracts at a ten percent (10%) discount; (b) Plus subscribers will be able to purchase Standard Contracts at a fifteen  percent (15%) discount; and (c) Premium subscribers will be able to purchase Standard Contracts at a twenty percent (20%) discount. 

We will review your contract, analyze your rights and responsibilities, and advise you of how the agreement will impact your business.  If you require additional services beyond your selected package, you may elect to move up from one tier to the next, or elect to switch to an hourly fee agreement.

• Basic:  We will spend four (4.0) hours reviewing and analyzing your contract and advising you about the implications the contract will have on your business. 
• Plus:  We will spend six (6.0) hours reviewing and analyzing your contract and advising you about the implications the contract will have on your business. 
• Premium:  We will spend eight (8.0) hours reviewing and analyzing your contract and advising you about the implications the contract will have on your business.

Contract Review package purchasers will be offered the following discounts on hourly services, including custom document drafting, if purchased within thirty (30) days of purchasing a Contract Review package: (a) Basic package purchasers will receive a ten percent (10%) discount on current rates; (b) Plus package purchasers will receive a fifteen percent (15%) discount on current rates; and (c) Premium package purchasers will receive a twenty percent (20%) discount on current rates.

Board Meetings

For all Board Meetings, we will draft and send notices, virtually conduct the meeting according to the agenda (including any votes), and prepare Meeting Minutes to memorialize the movements of the meeting (the “Basic Meeting Services”).  Board Meeting services are offered at the following tiers:

• Basic: Includes the Basic Meeting Services. 
• Plus: We will provide the Basic Meeting Services, plus devote five (5.0) hours to reviewing up to three (3) legal issues and drafting a letter concerning those issues to the Directors prior to the meeting.
• Premium:  We will provide the Basic Meeting Services, plus devote ten (10.0) hours to reviewing up to five (5) legal issues and drafting a letter concerning those issues to the Directors prior to the meeting. 

Additional Discounted Services: 

Clients who purchase a Board Meeting package will be offered the following discounts on other Corporate Governance or Standard Contract products or services if purchased within thirty (30) days of purchasing a Board Meeting Package: (a) Basic package purchasers will receive a ten percent (10%) discount; (b) Plus package purchasers will receive a fifteen percent (15%) discount; and (c) Premium package purchasers will receive a twenty percent (20%) discount.

Shareholder Meetings or Member Meetings

• Plus:We will provide the foregoing Basic Meeting Services, plus devote five (5.0) hours to reviewing up to three (3) legal issues and drafting a letter concerning those issues to the Shareholders/Members prior to the meeting. 
• Premium:  We will provide the foregoing Basic Meeting Services, plus devote ten (10.0) hours to reviewing up to five (5) legal issues and drafting a letter concerning those issues to the Shareholders/Members prior to the meeting. 

Additional Discounted Services: Clients who purchase a Shareholder Meeting or Member Meeting package will be offered the following discounts on any other Corporate Governance or Standard Contract products or services if purchased within thirty (30) days of purchasing a Meeting Package: (a) Basic package purchasers will receive a ten percent (10%) discount; (b) Plus package purchasers will receive a fifteen percent (15%) discount; and (c) Premium package purchasers will receive a twenty percent (20%) discount.

Advisement Concerning Number of Shareholders / Members: If your company has twenty (20) or more Shareholders/Members, you will be charged an additional fee equal to the actual cost of postage for all mailings.  Meeting packages are not available for companies with fifty (50) or more Shareholders / Members.  If your company has fifty (50) or more Shareholders / Members, please call us for custom pricing. 

Bylaws 

We offer standard Bylaws that we will complete according to your company’s unique details on a flat fee basis. We can draft Bylaws customized to your business on an hourly fee basis.

Operating Agreements 

We offer standard a Operating Agreement that we will complete according to your company’s unique details on a flat fee basis.  We can draft an Operating Agreementcustomized to your business on an hourly fee basis. 

Registration of Out of State Business

We will register your business according to the locations in which it does business.  We offer these registration services on a flat fee basis. 

Resolutions or Minutes to Adopt Major Decisions

You can retain us to draft written Resolutionsor Minutes to memorialize major decisions made by your company or its management.

Secretary of State Compliance

We will serve as your Colorado registered agent and draft and file your periodic report with the Colorado Secretary of State for a flat fee.
